1. Parties and Definitions
1.1. Parties
This Agreement is concluded electronically between Meetverse and the Host who creates and sells events on the Platform.

1.2. Definitions
- Host: A natural/legal person Member who creates, presents and sells tickets for events on the Platform.
- Participant: A Member who purchases a ticket to the Host's event.
- Earnings: The net amount payable to the Host after deduction of commissions and other charges from ticket sales.
- Event Completion Date: The date on which the event actually ends, or on which the use period commences for on-demand content.
2. Intermediary Relationship and Legal Nature
- Meetverse acts as an intermediary service provider under Law No. 6563 Art. 2/1-(d) in the conclusion of the contract between the Host and the Participant.
- The Host is the party to the Distance Sales Agreement; Meetverse provides payment collection, platform services and technical infrastructure.
- The Host acknowledges that it organizes the event in its own name and on its own account and bears the status of seller/provider for tax purposes.
3. Application and Identity Verification (KYC)
3.1. Application Steps
- Completion of profile information,
- Identity verification (KYC — Didit integration),
- Submission of IBAN,
- Declaration of tax status (tradesperson / freelancer / company / non-registered individual),
- Payment of the event creation fee where applicable (TRY 150.00 — subject to change),
- Electronic acceptance of this Agreement.
3.2. Identity Verification

3.3. Data Processing
As the documents submitted for verification include special category data under DPL Art. 6, they are processed and securely retained on the basis of explicit consent in accordance with the Privacy Policy and for the statutory retention period.
3.4. Re-verification
Re-verification may be required for material profile changes (name, IBAN, tax status, etc.) and as part of periodic checks.
4. Host's Obligations
4.1. Event Management
- Ensuring that event descriptions are accurate, complete and not misleading (CPL Art. 61),
- Delivering the event at the announced date, time and scope,
- Treating Participants in a professional, respectful and non-discriminatory manner,
- Notifying any changes occurring before/during the event (instructor, time, location) to participants immediately via the Platform and e-mail.
4.2. Legal Obligations
- Maintaining all permits, licenses and authorizations required for its activities (copyright, broadcast permissions, child protection, health, etc.),
- Tax compliance (income, VAT, withholding tax, etc.) — all tax obligations belong to the Host,
- Compliance with Law No. 5651, DPL, Turkish Penal Code and all other applicable laws,
- Responding to consumer complaints within the timeframes prescribed by the CPL.
4.3. Protection of Participant Data
- Using Participant data only for the performance of the event and reasonable customer relationship management,
- Obtaining separate explicit consent for any marketing use (DPL + Law No. 6563 + İYS),
- Compliance with DPL and, where applicable, GDPR,
- Preparing a separate privacy notice for the Host's own service.
4.4. Complaints and Support
- Responding to Participant complaints within 48 hours at the latest,
- Responding to requests of the Meetverse support team in a timely and complete manner.
5. Commission and Payment Flow
5.1. Commission Rate
- Standard commission rate: 10% (ten percent) of the ticket fee — VAT exclusive.
- Different rates may apply for promotional periods, category-based campaigns or Hosts with special agreements; in such cases, the Host is notified separately.
- The commission is documented by Meetverse with an invoice/receipt in compliance with VAT legislation.
5.2. Deductions Other Than the Commission
- Payment institution (PayTR/iyzico) commission and transaction fees,
- 3DSv2 / BKM service fees (if any),
- Withholding tax where required by law,
- Pro-rata deductions for refunds,
- Chargeback fees and losses.
5.3. Calculation of Earnings
Host Earnings = Ticket Sale Amount (VAT incl.) − Meetverse Commission (VAT excl.) − VAT on Commission − Payment institution transaction fees − Statutory withholding tax (if any) − Refund and chargeback deductions.
5.4. Payment Flow
- The Participant purchases a ticket; payment is collected via PayTR/iyzico.
- The amount is held in escrow by the Platform until the refund window closes.
- After the event is completed, the amount is transferred to the Host's IBAN within 23 (twenty-three) business days.
- This period is necessary for the evaluation of refund requests, bank reconciliation, the closing of the chargeback risk window and tax calculations.
- For on-demand sales, the transfer is made within 23 business days following the closure of the refund window that starts on the sale date.
5.5. Payment Frequency
- Automatic transfer on an event basis.
- Where multiple events have earnings, payments may be made cumulatively.
- The current status can always be viewed via the "Host Earnings" screen.
5.6. Errors, Underpayments or Overpayments
- Set-off, recovery of erroneously made overpayments and correction of errors are within Meetverse's unilateral discretion.
- The Host shall immediately return any amounts received in excess by mistake.
6. Tax Obligations
6.1. Natural Person Host
- If the Host is not registered as a tradesperson/freelancer/taxpayer, the declaration of income earned under the Income Tax Law is the Host's responsibility.
- Meetverse applies withholding tax where required by law and pays the relevant amount to the tax office.
6.2. Legal Entity Host
- Issuance of e-invoice / e-archive invoices is the Host's responsibility.
- Compliance with VAT and other tax obligations is ensured.
6.3. Record Retention
- All financial records are retained for 10 years under Tax Procedure Law Art. 253 and Commercial Code Art. 82.
- Meetverse provides payment details and earnings reports to the Host electronically.
7. Event Rules
7.1. Prohibited Events
- Illegal activities and fraud,
- Content involving/promoting child sexual exploitation,
- Copyright infringements,
- Unlicensed medical / psychological / financial / legal advice,
- Gambling, betting, unlicensed weapons, uncontrolled substance promotion,
- 18+ adult events (unless permitted by law and specifically approved by Meetverse).
7.2. Content Standards
- Professional and accurate visual content,
- Clear indication where there are age restrictions,
- Clear statement of event capacity, language and requirements.
8. Account Suspension and Termination
Meetverse may suspend or close the Host account in cases including:
- Breach of this Agreement,
- Failure to comply with legal obligations,
- Excessive complaint/refund ratio (above thresholds set by the Platform),
- Suspicion of fraud,
- Decision of a competent authority.
During suspension:
- No new events can be created,
- Existing earnings are frozen and not paid until the violation decision is finalized,
- Active events may be cancelled; refunds will be made to participants and the refunded amount will be offset against the Host.
9. Liability
9.1. Host Liability
- The Host is directly and primarily responsible for the performance of the event.
- All consumer law, intellectual property, DPL and criminal liability vis-à-vis Participants rest with the Host.
- Meetverse bears limited liability as an intermediary service provider.
9.2. Indemnification (Defend & Hold Harmless)
The Host shall indemnify Meetverse against any and all losses (including third-party claims, administrative fines, attorney fees, court costs) arising from the Host's breach of this Agreement or applicable laws, and defend Meetverse against such claims.
10. Complaints and Dispute Resolution
10.1. Participant Complaints
Complaints are first directed to the Host; if not resolved, Meetverse mediates. The final authority on consumer-law matters is the Consumer Arbitration Board / Court.
10.2. Host — Meetverse Disputes
Resolution is first attempted through written communication (destek@meetverse.org); failing that, the Istanbul (Anadolu) Courts and Enforcement Offices are competent.
11. Termination of the Agreement
11.1. By the Host
May be terminated upon 30 days' prior written notice. Termination does not take effect until open events are completed or refunded; existing earnings are paid within the timeframe in Section 5.4.
11.2. By Meetverse
- Immediate termination in case of contractual breach,
- Otherwise with 30 days' prior notice.
11.3. Provisions Surviving Termination
Sections 4.3, 6, 7, 9, 12 and 13 survive termination.
12. Confidentiality and Trade Secrets
The Host shall keep confidential the Participant data, financial information, pricing, commission structure and trade secrets of Meetverse to which it has access by virtue of its role. This obligation survives termination for a period of 5 years.
13. Notices and Evidence Agreement
- Notices between the parties are addressed to Meetverse's addresses above and to the Host's registered e-mail/phone.
- Pursuant to Civil Procedure Law Art. 193, Meetverse's electronic records (server logs, e-mails, system records, payment receipts) constitute exclusive evidence in disputes between the parties.
14. Amendments
Meetverse may unilaterally amend this Agreement in light of legislative or operational requirements. Material amendments will be notified to the Host at least 30 days in advance. Continued use of the Platform after the effective date constitutes acceptance of the new terms.
15. Governing Law and Jurisdiction
- The laws of the Republic of Türkiye apply.
- The Istanbul (Anadolu) Courts and Enforcement Offices are competent.
16. Entry into Force
This Agreement enters into force upon the Host's electronic acceptance of "I have read and accept the Host Agreement", and ends upon termination subject to the surviving provisions of Section 11.
